Professional interests can have two types: exploited and untapped. The owner of the working interest, who is the „operator“, manages exploration and production operations, including suggesting well drilling, monitoring drilling, and managing marketing and accounting functions. The operator and non-operating owners of union interests generally enter into a joint exploitation agreement („JOA“) which defines the agreement of the parties on the exploration, drilling, development, exploitation and settlement of oil and gas concession areas in which they have common interests. As noted above, unlike royalties, labour shares are borne by the operating costs of a borehole or unit in exchange for a share of revenues; For this way, the oil and gas industry has an accounting system called „Joint Interest Billing,“ which allocates operating revenues and costs among interest owners. The operator calculates the costs charged to non-operators under the JOA, allocates these costs on the basis of their respective labour interest interests and sends common interest invoices („OMC“). The typical transaction consists of three key documents: a purchase and sale contract, a transfer of inter-term royalties, and a production and delivery agreement. . . .
